Terms of Service

These Terms of Service ("Terms") are an agreement between you and Stivan Technologies ("Stivan Technologies", "we", "us" or "our") governing your use of ProjectHelm, our platform for describing an application in chat and having it designed, generated and deployed as a real, running app (the "Platform" or "Service"). By creating an account or otherwise using the Platform, you agree to these Terms, our Privacy Policy and our Cookie Policy. Where we process personal data on your behalf as described in section 8, our Data Processing Agreement also applies. If you don't agree with these Terms, please don't use the Platform.
1. A few definitions
- "Content" means the designs, code, files and other material you create, upload or generate through the Platform.
- "Credits" means the prepaid units your workspace spends on AI messages and publishing, as described on our pricing page.
- "Your application" means an app you design, generate and deploy using the Platform.
- "Public Static Pages" means pages or content of your application configured for anonymous or unauthenticated access (such as a public landing page, terms, or documentation).
- "Support Tickets" means support inquiries and technical incident requests opened via the Platform's support portal or automated telemetry.
2. Your account
You need an account to use the Platform. You must be at least 18, or have a parent or guardian's consent if you're younger. You're responsible for keeping your account credentials confidential and for everything that happens under your account - tell us straight away at support@stivan.in if you think someone else has access to it. The information you give us when signing up should be accurate; if it changes, please keep it up to date.
You can delete your account at any time by contacting us. We'll remove your access and delete or anonymise your personal data as described in our Privacy Policy, though we may keep billing records as long as the law requires.
3. Using the Platform
We grant you a limited, non-exclusive, revocable licence to use the Platform to design, build and deploy your own applications, and to let your own users access those applications. You agree not to:
- use the Platform for anything illegal, or to build an application whose purpose is illegal;
- try to disable, overload or circumvent the Platform's security, rate limits or access controls;
- upload files that exceed configured size limits, contain malware, malicious scripts, viruses, or executable payloads designed to bypass server security;
- use automated tools to scrape or interact with the Platform outside of the features it offers you;
- reverse engineer, decompile or otherwise try to extract the underlying source or models behind the Platform;
- resell or provide the Platform itself to others on a service-bureau basis; or
- share your account credentials with anyone else.
4. Your content
You own the Content you create. You're responsible for making sure you have the rights to anything you upload or ask the AI assistant to work with, and that it doesn't infringe someone else's rights or break the law. To operate the Platform, you give us the licence we need to store, run, generate and display your Content - for example, to build and deploy your application, or to show it to you in the chat and preview panes. We don't use your Content to train our own general-purpose AI models.
For any Public Static Pages you publish through your application, you are solely responsible for ensuring the public content complies with all applicable intellectual property, defamation, advertising, and consumer protection laws.
You're responsible for keeping your own backups of anything important. We take reasonable steps to protect your data, but we can't guarantee it will never be lost or corrupted.
5. The AI assistant and Prototype Preview
The assistant proposes changes to your application's design as a reviewable diff - nothing is applied to your live design or your deployed application until you approve it. The Platform also provides an interactive prototype workspace allowing you to preview screens, review workflows and checklists, and inspect sample records before applying changes or publishing. AI output and synthetic prototype data can be wrong: review what it proposes, especially anything you plan to rely on for security, compliance or handling real user data, before you ship it.
6. Credits, pricing and payment
The Platform is paid for with prepaid credits held by your workspace. Credits are used in three ways, each described in full in our Credit Policy, which forms part of these Terms:
- AI usage - each assistant reply is metered on the computing work it actually took and charged when the reply finishes, plus a fixed price for each picture generated to order in that reply (stock photos are free). The cost is shown under the reply. A small minimum balance is needed to send a message.
- Hosting - a fixed number of credits per day for each application you keep published, charged daily from the moment it goes live until you take it offline.
- Rebuilds - a fixed price when a change needs your application rebuilt and redeployed. Page and content edits publish instantly and are free.
Current rates are shown on your Credits page and on our pricing page; we may change them from time to time and will show the new rates there before they apply. When your balance can no longer cover a day's hosting, your application stays online for the grace period set out in the Credit Policy and is then taken offline until you top up - it is never deleted for non-payment, and publishing it again restores it with its data. We will warn you by email before that happens.
Credits are non-refundable once purchased, except where the law requires a refund, and have no cash value. Payments are processed by Stripe or Razorpay depending on your region; we never see or store your card, UPI or bank details ourselves. Prices in Indian rupees include GST where we are registered to collect it, and you receive a tax invoice; prices in US dollars are exports of services outside India. You're responsible for any other taxes that apply to your purchase.
7. Publishing your application
Once you publish an application, it's reachable by anyone who has its address, whether a projecthelm.in subdomain or your own custom domain. You can configure your application to serve public landing pages directly at root or keep all screens behind an authentication gate. It is your responsibility to configure appropriate authorization levels (Anonymous, Authorize, or SuperUser) for each page and entity in your application. You can take an application offline at any time from its settings.
8. If your application has its own users
If your application collects data from its own users - your customers, members or however you refer to them - you are the controller of that data: you decide why it's collected and how it's used, and you're responsible for giving those users their own privacy notice and for answering their requests. We act as your processor for that data, on the terms of our Data Processing Agreement. If you connect a third-party service to your application (a payment gateway, an email provider), that service becomes your processor, not ours.
9. Third-party services
The Platform relies on third-party services to work - among others, large-language-model providers for the AI assistant, Google for sign-in and bot protection, Stripe and Razorpay for payments, Fast2SMS for phone verification, and OVH for domain and DNS provisioning. We don't control these services and aren't responsible for their outages, errors or changes, though we'll do what we reasonably can to keep the Platform working around them.
10. Suspension and termination
We may suspend or terminate your account if you break these Terms, misuse the Platform, or if we reasonably believe your account poses a risk to the Platform or other users. Where practical, we'll tell you why. You can stop using the Platform and delete your account at any time; fees already paid aren't refunded except where the law requires it.
11. Disclaimers and limitation of liability
The Platform is provided "as is". We don't promise it will be uninterrupted, error-free, or that any application built on it will be fit for a particular purpose - you're responsible for testing and reviewing what you build before relying on it, especially anything handling real user data or payments. To the extent the law allows, our total liability to you for any claim arising from these Terms or your use of the Platform is limited to the amount you paid us in the 12 months before the claim arose, and we're not liable for indirect or consequential losses.
Nothing in these Terms limits liability that can't be limited under applicable law.
12. Governing law
These Terms are governed by the laws of India.
13. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we'll update the date at the top of this page; continuing to use the Platform after a change takes effect means you accept it.
